Terms of Service

1. Definitions & Interpretation

"Customer" means the individual or organisation creating an account.
"Service" refers to software and services provided, including hosted applications, APIs, features, modules, updates, and support.
"Customer Data" encompasses all data, content, and information uploaded or input.
"Authorized Users" means employees, contractors, or designated permitted users.
"Subscription Term" is the initial period selected plus any renewal periods.
"Fee" means the billed amount, excluding VAT or relevant taxes.
"Effective Date" is when you first access or use the Service.

2. Subscription & Use

2.1 Grant

Subject to these Terms and payment of Fees, you receive a non-exclusive, non-transferable right to access and use the Service during the Subscription Term.

2.2 Usage Model

Payment is based on credit allowance defined by your selected plan.

2.3 Restrictions

You shall not reverse-engineer, circumvent security, violate law, abuse resources, or build competing products.

2.4 Modifications

Loony reserves the right to modify the Service with reasonable notice.

3. Fees, Invoicing & Payment

3.1 Pricing

Fees appear in your Order Form. Pricing may be updated on renewal. All prices exclude VAT.

3.2 Billing

Fees billed in advance via Stripe.

3.3 Late Payment

May result in access suspension. Interest at 1.5% per month.

3.4 Refunds

Cancel anytime; takes effect at end of billing period. Payments non-refundable.

4. Data Protection & GDPR

4.1 Compliance

Loony acts as Processor, complies with UK GDPR and Data Protection Act 2018.

4.2 DPA

Separate DPA governs personal data handling.

4.3 Sub-processors

Third-party providers may be used with notification.

4.4 Data Retention

Customer Data deleted or exported within 30 days of termination.

5. Service Levels & Support

5.1 Uptime

Uptime target: 99.5%. Scheduled maintenance notified in advance.

5.2 Support

Support via email or Slack during UK business hours.

5.3 Downtime Credits

10% of monthly fee if uptime below 99%.

6. Intellectual Property

6.1 All rights in the Service remain with Loony.

6.2 You retain ownership of Customer Data. We never sell Customer Data.

7. Warranties & Disclaimers

7.1 Service will not contain malicious code.

7.2 Otherwise provided "as is" without other warranties.

8. Limitation of Liability

8.1 Capped at total Fees paid in preceding 12 months. No indirect damages.

8.2 Provider indemnifies against IP infringement claims.

8.3 Customer indemnifies for breach, misuse, and data infringement.

8.4 AI outputs are informational only.

9. Term & Termination

9.1 Auto-renewing subscription.

9.2 Cancel anytime; effective at end of billing period.

9.3 Loony may terminate for non-payment, breach, or system risk.

9.4 Data retained 30 days post-termination for export.

10. Acceptable Use

No violations of law, malicious code, reverse engineering, scraping, or spam.

11. Governing Law

England & Wales. Entire agreement. No assignment without consent.
